Information concerning the transaction made by the obliged person

Banco Santander S.A. (“the Bank”) hereby informs that on 29th May 2015 director of the Bank notified the Bank, that within the hereditary process following the death of Mr. Emilio Botin-Sanz de Sautuola y Garcia de los Rios, a total of 602 532 shares of the Bank corresponding to his inheritance not yet vested have exited from the agreement among certain shareholders (shareholders’ agreement):

- disposal by inheritance (not yet vested) of Mr. Emilio Botin-Sanz de Sautuola y Garcia de los Rios on 26 May 2015 of 552 426 shares of the Bank at 6.594 euro per share,
- 50 106 shares of the Bank corresponding to inheritance (not yet vested) of Mr. Emilio Botin-Sanz de Sautuola y Garcia de los Rios have exited from the shareholders’ agreement on 26th May 2015.
