Issuance of own bonds by Bank Zachodni WBK S.A.

The Management Board of Bank Zachodni WBK S.A. (the "Bank") hereby announces that on 7th of February 2018, it adopted a resolution approving the issuance by the Bank of subordinated bonds with a total nominal value not higher than PLN 1.000.000.000 (one billion zlotys), to be qualified as Tier II instruments of the Bank subject to the consent from the Polish Financial Supervision Authority ("Bonds").

The Bonds will be offered solely on the territory of Poland. The Bonds may be issued in one or several series. The Bank plans to carry out the issuance by 30 June 2018. Details of the issuance will be communicated at a later date.

Legal basis:
Article 17(1) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
